These Terms of Service (“Terms”) apply to your access to and use of the AiinNft website, mobile application, and any live support, software, tools, functionality or features (collectively, the “Services”), including but not limited to viewing, exploring, displaying, creating, buying, selling or transferring non-fungible tokens (NFTs). AiinNft is a peer-to-peer Web3 platform designed to help users discover and interact directly with each other and NFTs on public blockchains.
1. Overview of Terms
Definitions
NFT: refers to a non-fungible token or similar digital good implemented on a blockchain that is linked to specific content or data through a smart contract.
User/You/Your: refers to an individual who is a user of the Services. If you represent a company or other entity, this also includes that entity, and you represent that you are an authorized representative of that entity and have the authority to agree to these Terms.
Agreeing to Terms
By clicking to accept, signing, or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services. Please note that the Terms contain a mandatory arbitration agreement and class action waiver, which means that most disputes will be resolved through individual arbitration rather than in court.
2. Access to Services
To use AiinNft's services, you need to have a third-party wallet that allows transactions on the blockchain and associate your blockchain address with your AiinNft account. You can choose to add more personal information to your account to personalize your profile.
User Responsibilities
- You must ensure compliance with all applicable laws.
- If you encounter security issues, you should notify us in a timely manner.
- We may limit, suspend or terminate your access rights as required by law or to protect the security of the platform.
- In some cases, we may require additional information or documents to verify identity or investigate potential violations, during which time your account may be temporarily disabled.
- Your access may be interrupted for a variety of reasons, such as equipment failure, maintenance, etc.
- We reserve the right to disable accounts or reassign usernames.
- All users must be 18 years of age or older; minors between 13 and 18 years of age must use under the supervision of their parents or guardians; those under 13 are prohibited from using.
3. Ownership
The services and their appearance, design, proprietary content and other materials are the intellectual property of FundsNFT or its affiliates, licensors or users. AiinNft's name, logo, trademark, etc. may not be copied, imitated, or used without written permission.
Third Party Content
NFTs and related content visible on the Service are created by third parties, and AiinNft is not responsible for their legality, authenticity, or functionality. You should verify the relevant information yourself.
4. License to Use
You are granted a limited, non-exclusive, non-transferable, and personal license to access and use the Service. You may use any software, content, or other materials distributed to you solely for your own personal use and in compliance with the Terms.
5. Third Party Content and Services
As a peer-to-peer platform, AiinNft displays NFTs created by third parties. AiinNft does not guarantee the continued availability of these NFTs, nor does it participate in the specific terms set between buyers, sellers, or creators regarding NFTs. When you click to get more information about an NFT, you may be directed to third-party terms governing the use of that NFT, which you are subject to.
Sellers are responsible for determining the price, minting quantity, and mechanism of NFTs. AiinNft may charge a fee, but does not set other costs or fees, such as creator income, gas fees, etc. These fees are paid directly to the relevant party and are therefore non-refundable.
The Service may also contain links to third-party websites, applications or materials. While these links are provided as a convenience to users, they are not controlled by AiinNft and are viewed at your own risk.
6. User Code of Conduct
AiinNft is committed to creating an open and diverse community that welcomes users from all walks of life and different experience levels to explore and learn about various blockchains. In order to maintain the security and legitimacy of the community, we reserve the right to take action against users who violate the Terms of Service or engage in illegal activities, including but not limited to removing content, restricting access, or disabling accounts.
Prohibited Behavior
You must comply with all applicable laws and be responsible for your own behavior when using the AiinNft Service. Specifically, you may not:
Unauthorized use of others' accounts: Attempting to access other users' accounts without permission.
Impersonation: Pretending to be another person or entity, or using a wallet that you do not control to conduct transactions.
Malicious registration of usernames: Registering usernames for resale or other improper purposes.
Circumventing restrictions: Re-accessing the service from a different address after being blocked (unless written permission is obtained).
Spamming: Sending unwanted NFTs or other forms of spam to other users.
Disrupting the functionality of the service: Damaging, disabling, or overloading the service in any way.
Bypassing access controls: Attempting to bypass rate limiting systems or obfuscating the source of traffic.
Developer Policy Violation: Operating the Service in a manner that conflicts with our API Policy.
Commercial Abuse: Using the Service for unauthorized commercial purposes or attempting to circumvent fees.
Automated Abuse: Using unauthorized data mining tools, robots, or other automated means to access the Service.
Reverse Engineering: Attempting to crack or decompile the Service code.
Selling or Avoiding Fees: Reselling the Service or attempting to evade paying fees due.
Market Manipulation: Artificially increasing item rankings or views, engaging in unfair competition such as price manipulation.
Advertising and Marketing: Using data collected by the Service for advertising or direct marketing activities.
Illegal Financial Activities: Engaging in illegal financial activities such as money laundering and terrorist financing.
Use by Sanctioned Parties: Using the Service on behalf of or for sanctioned individuals or entities.
Unauthorized Financial Activities: Conducting financial activities such as issuing securities without registration or permission.
Illegal Content: Creating, displaying, or trading content that is illegal or harmful.
Intellectual Property Infringement: Posting content that infringes on the copyrights, trademarks, and other intellectual property rights of others.
Illegal Proceeds: Using illegal funds or proceeds for transactions.
7. Intellectual Property Statement
You are fully responsible for all content created, submitted or published through AiinNft, and you must ensure that such content complies with relevant laws and regulations. When you upload content, you grant AiinNft a worldwide, non-exclusive license to use, copy, modify and display such content in the process of providing, promoting and improving the service. Please note that this does not mean that AiinNft owns the content; we only obtain the right to use it.
You must ensure that for all uploaded content, you have the necessary rights or have obtained appropriate authorization to grant the above license, and that the content does not infringe the legal rights of others or violate any law.
8. Indemnification Obligation
You agree to indemnify and protect AiinNft and its affiliates from all claims and losses arising from your use of the service. This includes, but is not limited to, damages caused by: your use of the service, the feedback you provide, your violation of these terms or applicable laws, and your violation of the rights of third parties. You also need to promptly notify us of any potential claims and cooperate with us in defense.
9. Disclaimer
The services provided by AiinNft are provided on an "as is" and "as available" basis without any express or implied warranties. We make no promises that the services will meet your needs, be uninterrupted, secure or error-free. In addition, we do not guarantee that the information in the services is accurate, reliable or legal. Users should bear the risks of using the Internet and the services at their own risk.
10. Risk Notice
When using AiinNft, please pay attention to the following aspects:
Value Fluctuation: The value of NFTs is highly subjective and volatile, and changes in the cryptocurrency market may affect the price of NFTs.
Cost Assurance: You are responsible for all costs associated with the use of the services, including blockchain transaction fees, regardless of whether the transaction is successfully completed.
Ecosystem Uncertainty: The growth and development of distributed ecosystems may affect the utility of NFTs.
Regulatory Risk: Emerging regulations may adversely affect NFTs and the Services.
Tax Responsibility: You are responsible for determining and handling tax issues related to NFT transactions.
Peer-to-Peer Transaction Risk: There is a risk of counterfeiting, mislabeling, etc. when purchasing content created by third parties.
Smart Contract Independence: We do not control smart contracts deployed by third parties and their operation.
Blockchain Uncontrollability: We cannot reverse transactions on the blockchain and cannot control the functions of public blockchains.
Technical Risks: Hardware and software failures and third-party attacks may result in data loss or service interruption.
11. Limitation of Liability
To the maximum extent permitted by law, AiinNft shall not be liable for any indirect, consequential or other types of damages. This principle applies even if we have been informed of the possibility of such damages. In any case, AiinNft's maximum aggregate liability will not exceed the greater of $100 or the actual amount received directly related to the dispute.
Some jurisdictions do not allow the exclusion or limitation of liability for incidental or consequential damages, so the above limitation may not apply to you.
12. Privacy Policy
For information on how we handle personal information, please refer to our Privacy Policy. By using AiinNft services, you agree to the processing of your information in accordance with the provisions of the Privacy Policy.
13. Service Changes
We reserve the right to modify, suspend or terminate the service at any time without prior notice. These changes may affect some or all of the functionality of the Service, but we will notify users in advance where reasonable.
